Elliott wants two board seats to be filled by executives with refining experience and faster action on restructuring the fourth-largest U.S. oil refiner to improve its lagging financial performance, the New York activist said on Wednesday. Phillips 66 is relying on financial and legal advice from Goldman Sachs (GS.N) and Wachtell, Lipton, Rosen & Katz, the person familiar with the matter said. A Phillips 66 spokesman declined to comment on the advisers or whether it has new meetings scheduled with the activist.

Phillips 66 has lagged its U.S. refining rivals at a time when fuel demand and margins have soared for the industry. Phillips 66 Chief Executive Mark Lashier acknowledged discussions with Elliott but did not say whether the company was open to adding two Elliott-recommended directors to its board. Phillips 66 currently has 13 board members.

TECH LINED UPAxens SA, which provides technology to convert oil and biomass to lower-carbon fuels, in May agreed to provide its ethanol-to-fuels conversion technology to Phillips, ADM or a joint venture. ADM already formed a joint venture in 2021 with top U.S. oil refiner Marathon Petroleum Corp (MPC.N) to churn out renewable diesel from soybeans. Top oilseed processor Bunge (BG.N) and Chevron (CVX.N) last year formed Bunge Chevron Ag Renewables to make renewable fuels from soybeans and canola. As part of one deal, Chevron invested $600 million in the joint venture, helping double processing capacity at two Bunge soybean crushing facilities.

Realized margins soared 91% to $20.72 per barrel in the first quarter from a year earlier, Phillips 66 said. "We ran above industry-average crude utilization, successfully executed major turnarounds and increased market capture to 93%," Phillips 66's CEO Mark Lashier said in a statement. The Houston-based refiner reported adjusted earnings of $4.21 per share for the three months ended March 31, compared with average analyst estimate of $3.56, according to Refinitiv data.

Dec 12 (Reuters) - PBF Energy Inc (PBF.N) said on Monday it will repurchase shares worth up to $500 million as the U.S. refiner looks to boost shareholder payouts after reporting soaring profits. The company's shares were trading up about 7% at $34.90. Refiner Phillips 66 (PSX.N) said in November it plans to return up to $12 billion more to shareholders by end-2024, while Marathon Petroleum Corp (MPC.N) indicated plans to begin buying back shares as part of its current $5 billion repurchase program. Last week, PBF named Karen Davis as interim finance chief, replacing Erik Young effective Jan. 1. Phillips posted a bumper $5.4 billion profit for its third-quarter ended Sept. 30, compared with $402 million a year earlier. It also returned $1.2 billion through share repurchases and dividends during the quarter. Analysts at Tudor, Pickering, Holt & Co, however, said Phillips' total capital return yield severely lagged that of peers, despite larger-than-expected buybacks in the third quarter. Phillips' hefty investor-return plan comes at a time President Joe Biden has demanded that energy companies invest their profit into boosting production before considering shareholder returns.

Job cuts announced by U.S.-based employers jumped 13% to 33,843 in October, the highest since February 2021, a report said. Microsoft:Microsoft Corp (MSFT.O) laid off under 1,000 employees across several divisions this week, Axios reported, citing a source. However, Bloomberg on Sunday reported Twitter was reaching out to dozens of employees who lost their jobs, asking them to return. Chime:Online banking firm Chime has laid off 12% of its employees, or about 160 jobs, a spokesperson said.
